Terms of Service

Jerrizz provides two categories of offerings:

Our services are offered in tiered packages:

Pricing is per project and includes all features specified in the respective package. Additional services or modifications may incur extra charges as mutually agreed upon. Product pricing is listed separately per codebase.

Upon purchase of a Jerrizz product:

• You receive a non-exclusive, non-transferable licence to use, modify, and deploy the codebase for your own business purposes
• You may whitelabel and rebrand the product as your own — no attribution to Jerrizz is required
• You may not resell, redistribute, sublicence, or share the source code (in whole or in part) with third parties
• Each licence is valid for a single entity or project unless a multi-licence agreement is explicitly arranged
• We reserve the right to revoke access if licence terms are violated

For custom development services:

• Project scope, deliverables, timeline, and pricing are agreed upon before work begins and documented in a project proposal or statement of work
• Changes to scope after project commencement may result in revised timelines and additional fees
• Upon final payment, you receive full ownership of the custom code developed specifically for your project, unless otherwise stated
• Pre-existing frameworks, libraries, and proprietary tools used by Jerrizz in service delivery remain our intellectual property
• We reserve the right to showcase the work in our portfolio unless a non-disclosure agreement is in place

Project scope will be clearly defined in a separate Statement of Work (SOW) or project agreement. Key terms include:

• Detailed project specifications, timelines, and deliverables
• Number of revision rounds included in the package
• Communication protocols and project management processes
• Post-launch support duration (14–30 days depending on package)
• Intellectual property ownership and licensing terms

Any changes to the agreed scope may result in additional charges and timeline adjustments.

Upon full payment of all fees:

• All Jerrizz products, branding, website content, and proprietary tools are owned by Jerrizz and protected by applicable intellectual property laws
• Purchasing a product grants a usage licence, not ownership of the underlying intellectual property or design patterns
• You may not claim authorship of or patent any Jerrizz product or its architecture
• For service engagements, client receives full ownership of custom code and designs created specifically for their project
• Jerrizz retains rights to general methodologies, techniques, and know-how
• Third-party components remain subject to their respective licences
• Jerrizz may showcase completed work in portfolios and case studies unless specifically restricted

Clients are responsible for:

• Providing accurate and complete project requirements
• Timely feedback and approvals during development phases
• Providing necessary content, assets, and access credentials
• Making timely payments as per agreed terms
• Using our products in compliance with all applicable local and international laws
• Not using our products or services for any unlawful, fraudulent, or harmful purpose
• Maintaining the security of account credentials and codebase access
• Ensuring any deployed product complies with relevant data protection and consumer laws in your jurisdiction
• Maintaining confidentiality of any proprietary information shared

Jerrizz warrants that services will be performed in a professional manner consistent with industry standards. However:

• Products are provided “as is” — while we ensure high quality and a production-ready standard, we do not guarantee fitness for a specific use case or business outcome
• We do not guarantee specific business outcomes or market success
• All deliverables are provided “as-is” after the support period expires
• We are not responsible for third-party service failures or changes
• Market performance and user adoption are beyond our control
• Technical specifications may be subject to platform limitations

To the maximum extent permitted by law:

• Jerrizz's total liability shall not exceed the amount paid for the specific product or service giving rise to the claim
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for loss of profits, revenue, or business opportunities
• Client assumes full responsibility for business decisions and market strategies
• Our liability is limited to the repair or re-performance of defective services

Both parties agree to maintain confidentiality of proprietary information shared during the project. This includes:

• Business strategies, financial information, and trade secrets
• Technical specifications and proprietary methodologies
• Customer data and market research
• Any information marked as confidential or reasonably understood to be confidential

This obligation survives termination of the agreement and lasts for 3 years unless otherwise specified.

• Product purchases include initial setup guidance and documentation access
• Extended support, maintenance, or customisation beyond the initial purchase can be arranged separately
• Service engagements include a post-delivery support period as defined in the project agreement
• Bug fixes for confirmed defects in delivered work are provided at no extra charge within the agreed support window

Either party may terminate the agreement with 30 days written notice. In case of termination:

• Client pays for all work completed up to termination date
• Jerrizz delivers all work completed to that point
• Both parties return confidential information
• Immediate termination is allowed for material breach after 15 days cure period
• No refunds for completed milestones unless otherwise agreed
• Product licences may be revoked if source code is redistributed or resold in violation of these Terms

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or technical infrastructure failures.

Any disputes shall be resolved through:

1. Good faith negotiation between parties
2. Mediation if negotiation fails
3. Binding arbitration under the rules of the relevant arbitration association

We may update these Terms from time to time. When we make changes:

• We will update the “Last Updated” date at the top
• Material changes will be communicated via email or website notice
• Continued use of our products or services after changes constitutes acceptance
• We encourage you to review these Terms periodically

• These Terms constitute the entire agreement between parties
• Modifications must be in writing and signed by both parties
• If any provision is unenforceable, the remainder shall remain in effect
• No waiver of any term shall be deemed a continuing waiver
• These Terms are binding upon successors and assigns
